These Terms of Service govern your access to and use of DroVault, including the DroVault website, parts catalog, cart, quote-request forms, BOM sourcing forms, Belimo request forms, tax-exempt submission forms, and related services.
DroVault is operated by DroMetrics LLC. Throughout these Terms, "DroVault," "DroMetrics," "we," "us," and "our" refer to DroMetrics LLC and its DroVault parts and sourcing service. "You" and "your" refer to any visitor, customer, contractor, company, purchaser, or user of the site.
By using DroVault, submitting a request, placing an order, requesting a quote, uploading a file, or purchasing any product or service, you agree to these Terms.
1. Purpose of DroVault
DroVault is a BAS, HVAC controls, and project sourcing platform for contractors, integrators, service companies, and related commercial users. DroVault may offer parts catalog browsing, cart checkout, quote review, BOM/project sourcing, Belimo request support, tax-exempt review, and optional programming or configuration support.
DroVault is intended primarily for business-to-business use. By using the site, you represent that you are using it for legitimate business, contractor, facilities, controls, service, or project-related purposes.
2. Product Information
DroVault may display product names, SKUs, descriptions, categories, pricing, images, compatibility notes, programming notices, and other product-related information.
We make reasonable efforts to keep product information accurate, but product listings may contain errors, omissions, outdated information, unavailable items, incorrect pricing, or incomplete specifications. You are responsible for confirming that any product is suitable for your application, equipment, voltage, control signal, sequence, installation conditions, code requirements, and project specifications.
DroVault may update, modify, substitute, remove, or correct product information at any time without prior notice.
3. Pricing, Availability, and Order Acceptance
Prices shown on DroVault may be estimates, catalog prices, quoted prices, or checkout prices depending on the item and order path.
Specialty controls parts, project materials, controller packages, Belimo requests, programming-related items, and other non-standard items may require review before final acceptance. Availability, lead times, freight, tax, eligibility, compatibility, programming requirements, and order path may be confirmed before fulfillment.
Submitting a cart, quote request, sourcing request, Belimo request, tax-exempt request, or payment does not guarantee order acceptance. DroVault may accept, reject, revise, cancel, or request clarification for any order or request.
If pricing, availability, freight, tax, or product information changes before order acceptance, DroVault may provide updated information and request your approval before proceeding.
4. Checkout and Quote Requests
Some items may be eligible for direct checkout. Other items may require quote review, project review, tax review, programming review, or sourcing confirmation.
DroVault may allow you to:
- Add items to a cart;
- Request a quote or cart review;
- Submit a BOM, takeoff, spreadsheet, PDF, image, or part list;
- Submit Belimo part numbers, official links, schedules, screenshots, or notes;
- Submit tax-exempt documentation;
- Request programming, configuration, or project support.
You agree that information submitted through DroVault is accurate, complete, and authorized by your company or organization.
5. Belimo Requests and Third-Party Brands
Belimo and other manufacturer names, product names, trademarks, logos, and part numbers are the property of their respective owners.
DroVault may allow users to submit Belimo part numbers, official links, schedules, screenshots, BOMs, or application notes for request-based quote support. Belimo is a third-party brand. Submission of a Belimo request does not guarantee pricing, availability, order acceptance, fulfillment, or eligibility.
Unless specifically stated in writing, DroVault does not claim to be an authorized distributor, representative, agent, or warranty provider for any third-party brand.
6. Programming and Configuration Support
Certain controller purchases, including JACE, JENEsys Edge®, or similar controller products, may require programming or configuration support. DroVault may require a minimum programming/configuration charge, including a two-hour minimum where applicable.
Programming, configuration, point mapping, graphics, sequences, startup support, and integration services depend on the accuracy and completeness of information provided by you, including project requirements, point lists, network details, equipment data, control sequences, site conditions, existing system information, and access credentials.
DroVault is not responsible for delays, incorrect operation, rework, or additional costs caused by incomplete, inaccurate, conflicting, or changing project information.
7. Shipping, Delivery, and Risk of Loss
Shipping options, costs, lead times, and delivery estimates may vary by product, supplier, source, destination, quantity, weight, dimensions, and order type.
Shipping charges may be estimated, flat-rated, quoted, or confirmed before fulfillment. Delivery dates are estimates only and are not guaranteed unless expressly agreed in writing.
Risk of loss may transfer according to the applicable shipping carrier, supplier terms, or agreed order terms. DroVault is not responsible for delays caused by carriers, suppliers, weather, customs, incorrect addresses, failed delivery attempts, site closures, or events outside our reasonable control.
8. Taxes and Tax-Exempt Orders
You are responsible for applicable sales, use, excise, and similar taxes unless a valid exemption applies and is accepted by DroVault.
Tax-exempt customers must submit valid and complete exemption documentation before checkout or order acceptance. Submission of a certificate does not automatically remove tax from an order. DroVault may review, reject, or request updated exemption documentation.
If tax is not collected at checkout, you may still be responsible for any applicable use tax or other tax obligations.
9. Returns, Cancellations, and Special Orders
Return and cancellation eligibility depends on the product, supplier, order status, manufacturer rules, and whether the item is standard, special-order, configured, programmed, opened, installed, electrical, software-related, or otherwise restricted.
Special-order items, programmed/configured items, opened electrical components, software, licenses, maintenance agreements, custom services, and project-specific materials may be non-cancellable and non-returnable.
Before returning any item, you must contact DroVault and receive written return authorization. Unauthorized returns may be refused.
Refunds, credits, restocking fees, return shipping, and replacement options will be determined based on the item and circumstances.
10. Manufacturer Warranties
Products may be covered by manufacturer warranties where applicable. DroVault does not create or extend manufacturer warranties unless expressly stated in writing.
Warranty eligibility, duration, process, exclusions, and remedies are determined by the applicable manufacturer or supplier. DroVault may assist with warranty coordination where reasonable, but final warranty decisions may rest with the manufacturer or supplier.
11. User Submissions and Uploaded Files
You may submit files, notes, BOMs, tax certificates, part lists, photos, screenshots, project documents, and other information through DroVault.
You represent that you have the right to submit the information and that it does not violate any third-party rights, confidentiality obligations, laws, contracts, or project restrictions.
You grant DroVault permission to use submitted information for purposes of reviewing, quoting, sourcing, fulfilling, supporting, and communicating about your request or order.
Do not upload confidential, restricted, export-controlled, classified, highly sensitive, or legally protected information unless you have confirmed in writing that DroVault can receive and process it.
12. Acceptable Use
You agree not to use DroVault to:
- Submit false, misleading, fraudulent, or unauthorized information;
- Attempt to access systems, data, accounts, carts, files, or orders that are not yours;
- Interfere with site operation or security;
- Upload malware, harmful code, or unlawful content;
- Scrape, copy, or misuse product data except for legitimate purchasing or project review;
- Use the site for unlawful, unsafe, or unauthorized purposes.
DroVault may restrict or block access to users who misuse the site.
13. Intellectual Property
The DroVault name, DroMetrics name, site design, text, graphics, logos, layout, software, and original content are owned by or licensed to DroMetrics LLC, except for third-party manufacturer names, trademarks, product images, specifications, and materials.
You may use DroVault content for legitimate purchasing, quote review, and project evaluation. You may not copy, reproduce, modify, distribute, resell, scrape, or exploit site content for competing or unauthorized purposes.
14. No Engineering, Code, or Installation Guarantee
DroVault may provide product information, quote support, sourcing help, and programming/configuration support. Unless expressly agreed in a separate written scope, DroVault does not provide stamped engineering, code compliance certification, installation supervision, safety approval, commissioning certification, or field verification.
You are responsible for proper installation, wiring, configuration, commissioning, safety compliance, code compliance, manufacturer instructions, site conditions, and final system operation.
15. Disclaimer of Warranties
DroVault is provided on an "as available" and "as is" basis. To the maximum extent permitted by law, DroVault disclaims all warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.
DroVault does not guarantee that the site will be error-free, uninterrupted, secure, or free from harmful components.
16. Limitation of Liability
To the maximum extent permitted by law, DroVault and DroMetrics LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, project delays, downtime, loss of data, loss of business opportunity, replacement labor, or system performance issues.
To the maximum extent permitted by law, DroVault's total liability for any claim related to a product, order, request, service, or site use will not exceed the amount you paid to DroVault for the specific item or service giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some of these limitations may not apply.
17. Indemnification
You agree to defend, indemnify, and hold harmless DroVault, DroMetrics LLC, and their owners, employees, contractors, vendors, and affiliates from claims, damages, losses, liabilities, costs, and expenses arising from your misuse of the site, inaccurate submissions, unauthorized uploads, violation of these Terms, violation of law, or improper installation/use of products.
18. Changes to the Site or Terms
DroVault may update the site, product information, pricing, forms, policies, and these Terms at any time. The updated Terms will be effective when posted unless otherwise stated.
Your continued use of DroVault after updates means you accept the revised Terms.
19. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, unless another jurisdiction is required by applicable law.
